Terms of Sale

These Terms of Sale govern wholesale purchases of shea butter and related products from Everleigh Naturals Inc. (“Everleigh”). By requesting a quote, placing an order, or purchasing, you agree to these terms.
1. Quotes & pricing
Quotes are valid for the period stated (typically 30 days) and are exclusive of freight and applicable taxes unless noted. Prices are per kilogram in Canadian dollars and may reflect volume and pricing tier. We may adjust pricing for currency, freight, or input-cost changes, and will confirm the price on order acceptance.
2. Orders & minimums
Orders are subject to minimum order quantities and to acceptance by Everleigh. An order is confirmed when we issue a written order confirmation. Product availability and lead times are estimates and not guarantees.
3. Payment terms
Payment is by wire/EFT in advance, or on net-30 terms for approved credit accounts. Late balances may accrue interest at 1.5%/month (18%/year) or the maximum permitted by law. We may suspend shipments on overdue accounts.
4. Taxes
Prices exclude GST/HST and any other applicable taxes or duties, which are added where required and are the buyer's responsibility unless a valid exemption is provided.
5. Delivery, title & risk
Delivery terms are as stated on the order confirmation. Unless agreed otherwise, title and risk of loss pass to the buyer on delivery to the carrier. Delivery dates are estimates; we are not liable for delays outside our reasonable control.
6. Inspection, claims & returns
Inspect goods on receipt. Claims for shortage, damage, or non-conformity must be made in writing within 10 days of delivery, with the batch/lot number and supporting evidence. Approved claims are resolved by replacement or credit at our option. Custom or cut-to-order quantities are non-returnable.
7. Product use & compliance
Products are supplied as cosmetic-grade raw materials. The buyer is responsible for determining suitability for its intended use, for its own formulation, testing, labelling, and for compliance with all applicable laws and regulations in its market. Certificates of Analysis and SDS are provided with each lot.
8. Warranties & limitation of liability
We warrant that products conform to the specifications on the applicable Certificate of Analysis at the time of delivery. To the extent permitted by law, this is the sole warranty; all other warranties (including merchantability and fitness for a particular purpose) are disclaimed. Our aggregate liability for any claim will not exceed the price paid for the goods giving rise to the claim, and we are not liable for indirect or consequential damages.
9. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including supply disruption, shipping delays, customs actions, extreme weather, or governmental measures.
10. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of Ontario have jurisdiction, subject to any mandatory consumer-protection rights.
